Creator Portal Terms of Use

These Creator Portal Terms of Use ("Terms") govern your access to and use of the PitoReel Creator Portal, including the dashboard, content upload system, analytics tools, and content management features (collectively, the "Portal"). By accessing or using the Portal, you agree to be bound by these Terms.
These Terms are supplemental to the PitoReel General Terms of Service and the Privacy Policy. In the event of a conflict, these Creator Portal Terms shall prevail regarding Portal-specific matters.
1. Eligibility & Account Access
- The Portal is available only to approved Content Creators who have completed the PitoReel Creator Application and received written or dashboard confirmation of acceptance.
- You must be at least 18 years of age or the age of majority in your jurisdiction.
- Your Portal credentials are personal to you. You may not share, transfer, or sell access to your Creator account.
- You are responsible for all activity under your account, including content uploaded by anyone using your credentials.
2. Content Upload & Ownership
- You retain full ownership of all content you upload to PitoReel. Uploading does not transfer any intellectual property rights to PitoReel.
- By uploading, you grant PitoReel a non-exclusive, worldwide, royalty-bearing license to host, stream, distribute, display, and promote your content on the PitoReel platform (web, mobile, Roku, and any future platforms) for the duration of your agreement.
- You represent and warrant that you own or control all rights necessary to upload and distribute the content, including video, audio, images, and metadata.
- You are solely responsible for obtaining all necessary clearances for music, footage, likenesses, trademarks, and any third-party materials in your content.
3. Content Standards
All content uploaded must comply with the following:
- No hate speech, harassment, or content promoting violence against any group
- No sexually explicit or pornographic material
- No content that infringes the intellectual property rights of others
- No misleading metadata, thumbnails, or titles designed to deceive viewers
- No content that violates any applicable law or regulation
- No re-uploads of content you do not own or have rights to distribute
- All music must be original, licensed, or royalty-free with documentation available upon request
PitoReel reserves the right to remove content that violates these standards without prior notice.
4. Revenue & Payments
- Revenue earned through the Portal is calculated based on minutes watched by PitoReel subscribers, as outlined in your Creator Agreement.
- Payouts are processed monthly via the payment method on file, subject to a minimum threshold of $50.
- PitoReel reserves the right to withhold payment if content is found to violate these Terms, pending investigation.
- Revenue data displayed in the Portal is for informational purposes. Final payout amounts may differ due to adjustments, refunds, or disputes.
- Tax reporting is your responsibility. PitoReel will provide necessary tax documents (1099, etc.) as required by law.
5. Analytics & Data
- The Portal provides access to performance analytics including view counts, watch time, audience demographics, and revenue estimates.
- Analytics data is proprietary to PitoReel. You may use it for your personal business purposes but may not publicly disclose platform-wide statistics or compare your data in a way that misrepresents PitoReel's performance.
- PitoReel does not guarantee the accuracy of real-time analytics. Final metrics are confirmed in monthly reports.
6. Content Removal & Takedown
- You may remove your content from the platform at any time through the Portal. Removal will be processed within 48 hours.
- PitoReel may remove content without notice if it receives a valid DMCA takedown request, court order, or determines the content violates these Terms.
- Repeated violations may result in suspension or permanent termination of your Creator account.
7. Three Strikes Policy
- First violation: Warning issued via email and dashboard notification. Content removed.
- Second violation: Content removed. Upload privileges suspended for 14 days.
- Third violation: Creator account permanently terminated. Outstanding revenue will be paid if no fraud is involved.
8. Confidentiality
- Information shared with you through the Portal (including internal analytics, platform metrics, unreleased features, and business communications) is confidential.
- You agree not to disclose confidential information to third parties without written consent from PitoReel.
9. Platform Changes
- PitoReel may update the Portal, its features, revenue models, or these Terms at any time.
- Material changes will be communicated via email or dashboard notification at least 14 days prior to taking effect.
- Continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.
10. Termination
- You may terminate your Creator account at any time by contacting support@pitoreel.com or through the Portal settings.
- Upon termination, your content will be removed from the platform within 30 days.
- Any earned but unpaid revenue will be paid out in the next regular payment cycle, provided no violations are pending.
- PitoReel may terminate your account for breach of these Terms, inactivity exceeding 12 months, or at its discretion with 30 days notice.
11. Limitation of Liability
- PitoReel is not liable for any loss of revenue, data, or exposure resulting from platform downtime, bugs, or service interruptions.
- PitoReel's total liability to you shall not exceed the total revenue paid to you in the 12 months preceding the claim.
- PitoReel is not responsible for third-party actions, including piracy, unauthorized downloads, or copyright claims made by others against your content.
12. Indemnification
You agree to indemnify and hold harmless PitoReel, its officers, employees, and affiliates from any claims, damages, or expenses arising from:
- Content you upload that infringes third-party rights
- Your breach of these Terms
- Any misrepresentation regarding ownership or rights to your content
13. Governing Law & Disputes
- These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law principles.
- Any disputes shall be resolved through binding arbitration in Pulaski County, Arkansas, unless both parties agree to mediation first.
- You waive any right to participate in a class action against PitoReel.
